This Acceptable Use Policy (“AUP”) applies to all CelerWave Inc. services, including CelerWave AI infrastructure, AI Token Service, AI Agent Service, Hubwave.ai, APIs, software, and related services.
You may not use the Services, or assist another person or organization in using the Services, for activities prohibited by this AUP.

You may not use the Services to:

Legitimate security research, testing, and defensive cybersecurity activities performed with appropriate authorization are permitted.

The Services may not be used to create, distribute, solicit, or facilitate child sexual abuse material, sexual exploitation of minors, non-consensual intimate content, or other unlawful sexual exploitation.

6. Harassment and Abuse
You may not use the Services to engage in unlawful harassment, threats, stalking, targeted abuse, or other conduct intended to cause serious harm to individuals or groups.

You may not use the Services to unlawfully collect, process, expose, identify, track, or distribute personal information.
You must obtain all permissions and lawful bases necessary for personal information submitted to or processed through the Services.

8. Spam and Unsolicited Communications
You may not use CelerWave AI Agent or other Services to distribute unlawful spam, conduct abusive automated outreach, circumvent communication restrictions, or violate applicable marketing, telecommunications, privacy, or anti-spam laws.
Customers using marketing agents remain responsible for compliance with applicable requirements governing email, SMS, telephone, advertising, and other communications.

9. High-Impact Decisions
You may not rely solely on AI-generated output to make decisions that produce significant legal or similarly significant effects on individuals in areas such as employment, housing, credit, insurance, healthcare, or access to essential services where human review or other safeguards are required by law.

You may not knowingly use the Services to infringe intellectual property rights, including copyrights, trademarks, patents, trade secrets, or other proprietary rights.

You may not attempt to:
● bypass usage limits;
● defeat safety mechanisms;
● circumvent authentication or access controls;
● conceal prohibited activity;
● interfere with monitoring or security systems; or
● access models, infrastructure, or functionality for which you are not authorized.

12. Export Controls and Sanctions
The Services may not be used in violation of applicable export-control, sanctions, or trade laws.
Users may not circumvent geographic, identity, end-use, end-user, model, infrastructure, or other restrictions implemented by CelerWave or its providers.
Users must provide accurate information requested for compliance purposes.
CelerWave may restrict or block access where reasonably necessary to comply with applicable laws, sanctions, export controls, provider requirements, or risk-management policies.
Users may not circumvent geographic, identity, end-use, end-user, model, infrastructure, or other restrictions implemented by CelerWave or its providers.

CelerWave may restrict or block access where reasonably necessary to comply with applicable laws, sanctions, export controls, provider requirements, or risk-management policies.
13. AI Model Provider Requirements
Certain models available through CelerWave may be subject to additional acceptable-use requirements imposed by their respective providers.
Customers must comply with applicable provider restrictions when using those models.

14. Abuse of Infrastructure
You may not use the Services in a manner that:
● materially disrupts CelerWave infrastructure;
● imposes unreasonable or unauthorized loads;
● interferes with other customers;
● intentionally degrades service performance;
● abuses API rate limits; or
● attempts to obtain unauthorized computing resources.

15. AI Agents and Automated Actions
Customers are responsible for configuring, supervising, and authorizing AI agents used through the Services.
AI agents must not be configured to conduct unlawful or prohibited activities.
For actions that may materially affect customers, third parties, financial transactions, accounts, communications, or other significant interests, customers should implement appropriate authorization, review, and human oversight.

16. Enforcement
CelerWave may investigate suspected violations of this AUP.
Depending on the nature and severity of the activity, CelerWave may:
● limit requests or functionality;

● suspend API keys or accounts;

● notify affected providers; or
● report activity to authorities where required or permitted by law.
Where practical and appropriate, CelerWave may provide notice and an opportunity to address a violation before termination. Immediate action may be taken when necessary to address security, legal, regulatory, or safety risks.
